Evolution AB has terminated its planned $85 million acquisition of Galaxy Gaming (OTC: GLXZ), ending a deal announced in July 2024 after two outstanding gaming-authority approvals could not be secured before the July 17, 2026 outside date. Evolution declined to waive either condition, and on 21 July 2026 the companies jointly confirmed the deal is dead.

The break-fee clause requires Evolution to pay Galaxy Gaming $5,234,678 within two business days of the termination notice. Within 24 hours, Galaxy’s board authorised a $4 million share repurchase programme — a move that signals confidence in the company’s standalone value.


The $85 Million Deal

Evolution Malta Holding Limited — a subsidiary of the Swedish live-casino B2B giant — agreed in July 2024 to acquire all outstanding shares of Galaxy Gaming at $3.20 per share, a 124% premium to Galaxy’s closing price on the announcement date. The all-cash transaction valued the table-game supplier at roughly $85 million.

Galaxy Gaming distributes proprietary side-bet and table-game content to brick-and-mortar casinos across more than 40 US states and territories — a land-based distribution footprint that Evolution, which dominates online live-dealer supply, sought to bring in-house. Galaxy stockholders approved the merger at a special meeting in November 2024. Mississippi gaming regulators cleared the transaction in November 2025, the only jurisdiction to formally sign off before the deal collapsed.


Galaxy Gaming Merger: Why Regulators Blocked It

Two gaming regulators withheld approval by the July 17, 2026 deadline. Neither Evolution nor Galaxy Gaming has publicly named those authorities. Analyst commentary has pointed to Nevada as a likely holdout, with speculation that state regulators may have been monitoring the outcome of Evolution’s concurrent UK Gambling Commission licence review before acting — though no regulator has confirmed any such link.

The Gambling Commission opened its review of Evolution’s UK operating licence in December 2024 after finding the supplier’s content accessible via six unlicensed websites. The review concluded in mid-2026 with a £4.75 million settlement, closing the licensing matter without broader sanctions — but the review ran entirely in parallel with the merger approval process, adding external regulatory scrutiny to an already complex multi-jurisdiction transaction.


Financial Fallout and the Deal Timeline

The $5,234,678 termination payment flows from the merger agreement’s break-fee provisions and is payable within two business days of Evolution’s formal notice. Galaxy’s board authorised the new $4 million open-market buyback the following day, superseding a dormant $750,000 prior programme under which no shares had ever been repurchased. Directors cited a gap between the current share price and the company’s “underlying value and growth trajectory.”

Evolution stated both parties expect to continue operating within their existing commercial and licensing framework — Galaxy content will remain available on Evolution-connected platforms. For Evolution, the collapsed acquisition removes a planned land-based distribution expansion at a moment when H1 2026 revenue showed a year-on-year decline. The company now faces a choice between organic growth in land-based distribution and fresh M&A targets.

Galaxy Gaming returns to independence with $5.2 million in new cash from the break fee and an active buyback programme.
