On May 28, 2026, Fertitta Entertainment, Inc. announced a definitive agreement to acquire Caesars Entertainment, Inc. (NASDAQ: CZR) in an all-cash transaction valued at approximately $17.6 billion — the largest casino acquisition in US history. The Caesars acquisition prices each outstanding share at $31.00 in cash, a 49% premium over the company's unaffected share price as of February 25, 2026, and includes assumption of approximately $11.9 billion in existing Caesars debt. The Caesars board of directors unanimously approved the transaction and is recommending shareholder adoption.

The combined entity will span 60 domestic casino resorts, the full Caesars Sportsbook digital platform operating across more than 20 states, over 200 retail sportsbook locations operating under the William Hill brand, and more than 550 dining and entertainment outlets in the Landry's portfolio. The transaction will delist CZR from the NASDAQ and take the company private. A go-shop period runs until approximately July 11, 2026, during which Caesars may solicit and evaluate competing bids.


Deal Structure and Price Tag

The $17.6 billion figure breaks into approximately $5.7 billion in net equity value and $11.9 billion in assumed Caesars debt. A consortium of 10 banks provides new committed debt financing alongside Fertitta equity; the deal carries no financing condition. Morgan Stanley and Goldman Sachs are advising Fertitta Entertainment; PJT Partners, Latham & Watkins, and antitrust specialist Skadden, Arps are advising Caesars. Carl Icahn's Icahn Enterprises submitted a competing bid at roughly $33 per share, but Fertitta secured exclusive negotiating rights before the definitive agreement was signed.

The $31.00 per-share price also represents a 46% premium over Caesars' unaffected 30-day volume-weighted average price. The go-shop window through July 11 preserves the possibility of a superior competing offer before a shareholder vote.


What Fertitta Gains: Properties and Platforms

The centrepiece is eight Las Vegas Strip properties: Caesars Palace, Harrah's Las Vegas, Paris Las Vegas, Planet Hollywood, Horseshoe Las Vegas, The LINQ Hotel, Flamingo Las Vegas, and The Cromwell — the largest single Strip footprint of any operator. The Horseshoe and Harrah's brands anchor a regional portfolio of dozens of additional properties nationwide.

Caesars Sportsbook ranks among the top five US books by handle, operating a mobile product across more than 20 states. The William Hill brand contributes more than 200 third-party retail sportsbook locations, and Caesars' online poker product covers several iGaming jurisdictions. Combined with Golden Nugget Online Gaming, the merged company will hold one of the broadest regulated iGaming footprints in North America.

Caesars Acquisition: Regulatory Path and Timeline

The deal requires gaming licence approvals from state regulators in Nevada, New Jersey, Pennsylvania, Ohio, and every other jurisdiction where the combined company holds licences, plus federal antitrust review under the Hart-Scott-Rodino Act. The heaviest overlap is Atlantic City: Fertitta's Golden Nugget and Caesars' three properties — Caesars Atlantic City, Harrah's Resort Atlantic City, and Tropicana Atlantic City — would hand the combined entity four of the market's nine casino properties. Divestitures in the Atlantic City market are widely expected before regulatory approval is granted.

Most industry analysts do not expect the transaction to close before mid-2027. The Carano family, which holds approximately 5% of Caesars' outstanding shares, has already committed to rolling part of its stake into the new private entity rather than taking cash.


Impact on Operators and Bettors

Tom Reeg (CEO), Bret Yunker (CFO), and Anthony Carano (President and COO) are all confirmed to remain in their current roles, reducing near-term disruption for players and commercial platform partners. For bettors using Caesars Sportsbook today, the promotional model and product roadmap are unlikely to change meaningfully before the deal closes.

The more consequential long-term question is loyalty. Merging Caesars Rewards — the US gaming industry's largest loyalty programme by enrolled members — with Golden Nugget's 24 Karat Select Club and Landry's Select Club creates a cross-sector ecosystem spanning casinos, hotels, and hundreds of restaurants nationwide. Operators monitoring market concentration should note that a single privately held entity will command the largest Strip footprint in Las Vegas, a dominant Atlantic City position, and a scaled national digital sportsbook — all under one ownership structure for the first time.
